1. Acceptance of Terms

By accessing or using the website suredigital.com (the "Site") or engaging SureDigital B.V. ("SureDigital", "we", "us", "our") for consultancy services, you ("Client", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Site or our services.

2. Description of Services

SureDigital provides digital transformation consultancy services, including but not limited to:

  • Product Management & Strategy
  • Digital Transformation & Change Management
  • Global Supply Chain & Fulfillment Optimization
  • Solution Architecture & Technology Consulting
  • E-commerce & Digital Innovation

Specific terms of engagement, deliverables, timelines, and pricing will be detailed in separate written agreements (e.g., statements of work, service agreements, or contracts).

3. Use of Website

3.1 Permitted Use

You may use the Site for lawful purposes only, including researching our services, contacting us, and accessing informational content.

3.2 Prohibited Use

You agree not to:

  • Use the Site for any unlawful or fraudulent purpose
  • Transmit harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to the Site or our systems
  • Scrape, harvest, or collect data from the Site using automated means without permission
  • Reproduce, distribute, or modify Site content without written consent
  • Impersonate SureDigital or misrepresent your affiliation with us

4. Intellectual Property Rights

All content on this Site, including text, graphics, logos, icons, images, software, and design, is the property of SureDigital B.V. or its licensors and is protected by Dutch and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, publicly display, or create derivative works from any content without our prior written consent.

5. Client Obligations

When engaging our services, you agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Cooperate with SureDigital and respond to requests in a reasonable timeframe
  • Pay all fees and expenses as outlined in the service agreement
  • Comply with all applicable laws and regulations
  • Respect intellectual property rights and confidentiality obligations

6. Payment Terms

Payment terms, including fees, invoicing schedules, and payment methods, will be specified in individual service agreements. Unless otherwise agreed in writing:

  • Invoices are payable within 30 days of the invoice date
  • Late payments may incur interest charges at the statutory rate under Dutch law
  • We reserve the right to suspend services for non-payment

7. Confidentiality

Both parties agree to keep confidential all proprietary and sensitive information disclosed during the engagement. Confidential information includes business strategies, technical data, client lists, financial information, and any information marked as confidential.

This obligation survives the termination of the engagement and does not apply to information that is publicly available or independently developed.

8. Warranties and Disclaimers

8.1 Service Warranty

We will perform our services with reasonable skill and care in accordance with industry standards. However, we do not guarantee specific business outcomes, revenue increases, or cost savings unless explicitly stated in a written agreement.

8.2 Website Disclaimer

The Site and its content are provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by Dutch law:

  • SureDigital's total liability for any claim arising from our services shall not exceed the fees paid by the Client for the specific services giving rise to the claim
  • We shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or business interruption
  • This limitation applies regardless of the legal theory (contract, tort, negligence, etc.)

Exceptions: This limitation does not apply to liability for death or personal injury caused by negligence, fraud, or intentional misconduct.

10. Indemnification

You agree to indemnify and hold harmless SureDigital, its directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from:

  • Your breach of these Terms
  • Your misuse of the Site or services
  • Your violation of any third-party rights
  • Your provision of inaccurate or incomplete information

11. Termination

We reserve the right to suspend or terminate your access to the Site or services at any time for violation of these Terms or any applicable law.

Service agreements may be terminated in accordance with the termination provisions specified in the individual contract. Early termination may result in fees for work completed up to the termination date.

12. Governing Law and Dispute Resolution

These Terms and any disputes arising from your use of the Site or our services shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands. We will attempt to resolve disputes amicably before resorting to litigation.

13. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, war, pandemics, government actions, labor disputes, or infrastructure failures.

14. Amendments

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Site or services after changes constitutes acceptance of the revised Terms.

For active service engagements, material changes to terms will be communicated to clients in writing.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and SureDigital regarding the use of the Site and services, superseding any prior agreements or understandings.
